Learniv is an online learning platform that provides personalized educational content, quizzes and assessments, progress tracking, and AI-assisted recommendations. To access certain features you must create an account. You agree to provide accurate, current, and complete information, keep it up to date, keep your credentials confidential, and notify us immediately of any unauthorized use of your account.

You may close your account at any time. We may suspend or terminate your account if you breach these Terms, if required by law, or to protect the Service or other users. Paid features require an active subscription. Subscriptions renew automatically and are billed through our payment processor. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, in accordance with these Terms and your subscription plan.
You may not copy, modify, distribute, sell, or create derivative works from any part of the Service; remove any proprietary notices; or use our trademarks without our prior written permission.
You retain ownership of any content you submit (such as quiz responses and notes). You grant us a limited license to store, process, and use that content solely to operate, personalize, and improve the Service. Any feedback or suggestions you provide may be used by us without obligation to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY OF CONTENT. We do not guarantee that the Service will be uninterrupted, error-free, or secure. To the extent that any warranty cannot be excluded under applicable law, this section applies only to the maximum extent permitted.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Nixelton Limited and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.
You agree to indemnify and hold harmless Nixelton Limited and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the Republic of Cyprus, without regard to conflict-of-law principles. The courts of Limassol, Cyprus shall have exclusive jurisdiction, save that if you are a consumer resident in the European Union, you retain the benefit of any mandatory protections and the right to bring proceedings in the courts of your country of residence. Before initiating formal proceedings, you agree to contact us to attempt an informal resolution.
We may update these Terms from time to time. We will notify you of material changes by email or through the Service and update the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms, together with the Privacy Policy, Refund Policy, and Subscription Terms, constitute the entire agreement between you and Nixelton Limited. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of that right. You may not assign your rights under these Terms; we may assign ours without restriction. We are not liable for delays or failures caused by circumstances beyond our reasonable control.
